This agreement describes the terms and conditions for Toyota dealership participation in the Toyota
STAR Elite Program (the "Program"). By signing this agreement, the undersigned dealership
("Dealership") agrees to participate in the Program and abide by the terms and conditions set forth
1. Trademark License
Toyota Motor Sales, U.S.A., Inc. ("TMS"), licenses to Dealership the right to use the name "Toyota STAR
Dealership" and the other trademarks, services, marks and logos designated by TMS for use in
connection with the Program (collectively, the "Trademarks"). Dealership agrees to use the Trademarks
solely in connection with Dealership's implementation of the Program and in accordance with the
graphic standards or other instructions given by TMS. Dealership agrees to change or discontinue any
use of the Trademarks at any time upon request by TMS. Upon the termination of this agreement for
any reason, Dealership will immediately discontinue the use of the Trademarks and destroy or return to
TMS (at Dealership's cost) all materials bearing any Trademarks. The license granted by this Section 1 is
not assignable by Dealership. Without limiting the foregoing, Dealership shall not be entitled to license
or permit any of its wholesale accounts to use any Trademarks or any other trademark owned by TMS or
Toyota Motor Corporation, except where expressly permitted by TMS in writing.
2. Annual Enrollment Fee
In consideration of the agreement granted by Section 1 above, and the access to Program support
materials and other materials to be provided by TMS to the Dealership, Dealership agrees to pay TMS an
annual fee (the "Annual Enrollment Fee") when the agreement is signed and then each year thereafter.
3. Program Operating Standards
Dealership agrees to abide by the current Program Operating Standards listed below and any future
additional or modified Program Operating Standards published by TMS:
. Provide 1 dedicated local wholesale phone line
. Provide 1 dedicated parts department fax line
. Operate at least 1 dedicated wholesale parts delivery truck or utilize an outside parts delivery company
. Provide twice-per- day delivery to accounts within PMA
. Provide emergency delivery as necessary
. Retain 1 full time outside salesperson
. Contact your wholesale customers at least once every quarter
. Maintain an internal personnel level adequate both to support wholesale customer needs and to
service internal parts business
. Provide technical assistance to answer Wholesale Accounts' diagnosis/repair questions
All signage desired must be purchased by Dealership. Dealership agrees to either destroy or return to
TMS (at Dealership's cost) all STAR logo signage upon termination of this agreement. No credits will be
issued to Dealership for returned or destroyed signage and materials. Dealership shall not provide any
signage bearing any Trademarks or any other trademark owned by TMS or Toyota Motor Corporation to
any other person (including, without limitation, any wholesale account), except where expressly
permitted by TMS in writing.
Dealership agrees to keep confidential all information received from TMS concerning the Program (the
"Confidential Information"). The Confidential Information shall include, without limitation, all written
materials provided by TMS in connection with the Program. Dealership agrees not to:
A. Use any Confidential Information in any business other than its Toyota Dealership.
B. Release or permit the release of any Confidential Information to any third party, including any
employee of another dealership.
6. Term of Agreement Termination
This agreement will run for one year, starting January 1st through December 31st. Thereafter, program
re enrollment for the following year's enrollment period will occur automatically. Participating
Dealership can terminate its participation in the Program. During the Program enrollment period, either
party may terminate this agreement, with or without cause, by giving the other party at least 30 days'
advance written notice of termination. TMS may also terminate this agreement if Dealership fails to
perform any of its obligations hereunder and does not cure such failure to TMS satisfaction within 45
days after receiving written notice from TMS.
7. Participation in the Program
Dealership hereby understands and agrees that its participation in this Program is voluntary and not
required by TMS. Dealership hereby agrees to participate in the Program on the terms and conditions
set forth in this agreement.
